Terms of Service

Please read these Terms carefully before accessing or using Agrevo.

Agreement to Terms

By accessing or using the Agrevo platform, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Service. These Terms apply to all users, including visitors, registered users, and enterprise customers.

You must be at least 18 years of age to create an account and use the Service.

Description of Service

Agrevo provides an AI-powered agricultural management platform that includes:

·Farm monitoring and analytics using satellite imagery and IoT sensors
·Crop health assessment, NDVI analysis, and pest/disease alerts
·Compliance management tools including EUDR traceability and audit trails
·Weather forecasting and agronomic advisory services
·Supply chain and trade documentation management
·Multi-user farm management for enterprise customers
·API access for integration with third-party systems

Agrevo reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify Agrevo immediately of any unauthorized use. Agrevo reserves the right to suspend or terminate accounts that violate these Terms.

Enterprise customers may manage multiple users within their organization. The enterprise account holder is responsible for ensuring all sub-users comply with these Terms.

Acceptable Use

You agree not to use the Service to:

·Violate any applicable laws, regulations, or third-party rights
·Upload or transmit malicious code, viruses, or harmful content
·Attempt to gain unauthorized access to any part of the Service or its systems
·Reverse engineer, decompile, or disassemble any part of the Service
·Use the Service for fraudulent, misleading, or deceptive purposes
·Scrape, harvest, or collect data from the Service without written permission
·Interfere with or disrupt the integrity or performance of the Service

Intellectual Property

All content, features, and functionality of the Service — including software, text, graphics, logos, algorithms, and AI models — are the exclusive property of Agrevo or its licensors, protected by international copyright, trademark, and patent laws. Your use of the Service does not grant you any ownership rights.

Your Data

You retain ownership of your farm data and content uploaded to the Service. By uploading content, you grant Agrevo a limited license to process and display that content solely to provide the Service.

License Grant

Subject to these Terms, Agrevo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.

Data & Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy. Agrevo processes farm data and personal data in accordance with applicable data protection laws, including GDPR, CCPA, and PIPA.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AGREVO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

Agricultural decisions carry inherent risks. You are solely responsible for evaluating the suitability of any recommendations, satellite analysis, or outputs provided by the Service for your specific conditions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGREVO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL AGREVO'S TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE AMOUNTS YOU PAID TO AGREVO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Agrevo and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your use of the Service, or your violation of any third-party rights.

Termination

Either party may terminate this agreement at any time. You may terminate by discontinuing use of the Service and deleting your account. Agrevo may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or for other legitimate business reasons.

Upon termination, your right to use the Service will cease. Agrevo may delete your account data in accordance with its data retention policy. Provisions that by their nature should survive termination will remain in effect.

Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law principles. Any dispute shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of courts in Seoul, Republic of Korea, unless otherwise required by applicable law in your jurisdiction.

Changes to Terms

Agrevo reserves the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice within the Service. Continued use of the Service after such notice constitutes acceptance of the revised Terms.
